Tess Holdings Co.,Ltd. Revises Consolidated Earnings Guidance for the Year Ended June 30, 2026

Tess Holdings Co.,Ltd. revised consolidated earnings guidance for the year ended June 30, 2026. For the year, the company expects net sales of JPY 51,000 million, operating profit of JPY 5,100 million, profit attributable to owners of parent of JPY 1,800 million and basic earnings per share of JPY 25.53 against previously expected net sales of JPY 47,000 million, operating profit of JPY 3,600 million, profit attributable to owners of parent of JPY 1,200 million and basic earnings per share of JPY 17.02. Reasons for the revision: With regard to net sales, power storage system-related EPC projects in the Engineering Segment are expected to remain steady, and net sales are expected to be recorded in the fourth quarter of the fiscal year ending June 30, 2026, due mainly to the progress of development-type EPC projects for grid power storage plants including the Shizuoka Kikugawa Power Storage Plant and a grid power storage plant owned by an LLC formed by Tokyo Century Corporation. Also in the Energy Supply Segment, Operation and maintenance (O&M) and other businesses are performing better than the assumptions underlying the previous forecast, and therefore, net sales are expected to exceed the previously announced forecast. Operating profit is projected to exceed the previously announced forecast after comprehensively considering the net sales situation, selling, general and administrative expenses for the fiscal year ending June 30, 2026, which are expected to fall below the previously announced forecast, and actual results of non-operating income and expenses. Profit attributable to owners of parent is expected to exceed the previously announced forecast due mainly to the aforementioned increases in operating profit and ordinary profit, though the project an increase in income taxes - deferred due to the non-recognition of deferred tax assets related to asset retirement obligations recorded in the first quarter of the fiscal year ending June 30, 2026 while teh company also project the recording of an extraordinary loss associated with the transition difference resulting from the change to the principle-based method of retirement benefit accounting in the fourth quarter of the fiscal year ending June 30, 2026.
