StoneX Group Inc. (NasdaqGS:SNEX) cancelled the acquisition of CAB Payments Holdings Limited (LSE:CABP).

StoneX Group Inc. (NasdaqGS:SNEX) proposed to acquire CAB Payments Holdings Limited (LSE:CABP) for £241 million on March 15, 2026. As cash consideration £0.95 per share in cash was paid towards the equity shares of CAB Payments Holdings Limited. As on March 20, 2026, the Independent Board of CAB Payments together with its advisers, has carefully evaluated the StoneX Possible Offer and concluded unanimously that it significantly undervalues CAB Payments and its future prospects. Accordingly, the Independent Board has communicated to StoneX that it has rejected the StoneX Possible Offer. CAB Payments shareholders are advised to take no action at this time. As of April 9, 2026, the Independent Board of CAB Payments received a further non-binding proposal from StoneX Group Inc. relating to an increased possible offer for CAB Payments at a final price of £1.1 per share in cash, which follows StoneX's previous non-binding proposal at £0.95 per share. The terms of the Increased Final Possible Offer value the entire issued and to be issued share capital of CAB Payments at approximately £287 million and represent a premium of 52% to CAB Payments' undisturbed closing share price of £0.72 per share on January 30, 2026. The Independent Board encourages the Helios Consortium to engage constructively with the Company and StoneX in relation to the Increased Final Possible Offer, which represents a 29%. premium to the Helios Consortium's firm offer and which the Independent Board believes would be in the best interests of the Company's shareholders as a whole, including minority shareholders. CAB Payments shareholders are advised to take no action at this time. The transaction is subject to consummation of due diligence investigation. The unanimous and unconditional recommendation of our Proposal by the Board of CAB Payments to its shareholders and receipt of hard irrevocable undertakings from each CAB Payments director, the Helios Consortium and Eurocomm Holding Limited, committing to support our Proposal. The Board of Directors of CAB Payments Holdings Limited formed a special committee for the transaction. As of April 9, 2026, the Increased Final Possible Offer is subject to the satisfaction or waiver of a number of pre-conditions, including the satisfactory completion of confirmatory due diligence and the receipt of irrevocable undertakings to support the transaction from each CAB Payments director, the members of the Helios Consortium who own or control Company shares and Eurocomm Holding Limited to accept the Increased Final Possible Offer.
