Sinotrans Limited Announces Board and Committee Changes, Effective July 17, 2026

Sinotrans Limited had received the resignation letter from Mr. Yang Guofeng, that Mr. Yang resigned as a director of the Company with effect from July 17, 2026 due to work re-allocation. Accordingly, Mr. Yang also ceased to be a member of the Strategy and Sustainable Development Committee of the Board. According to the Company Law of the People’s Republic of China and other relevant laws and regulations, the resignation of Mr. Yang will not cause the number of the Board members to be lower than the quorum, and will not affect the normal operation of the Board and the Company. On July 17, 2026, the Board approved the proposed appointment of Mr. Li Feng and Mr. Sun Jianfeng as directors of the Company, and their proposed term of office will be from the date of approval by the shareholders of the Company at the extraordinary general meeting to the expiration date of the fourth session of the Board. Li Feng, male, born in 1979, graduated from Guanghua School of Management, Peking University, majored in Business Administration. Mr. Li holds a master’s degree and is a Senior Economist, Certified Land Valuer, and Certified Real Estate Appraiser. Mr. Li currently serves as the General Manager of the Transportation and Logistics Department of China Merchants Group Limited. He previously served as the Deputy Head of the Transportation and Logistics Department of China Merchants Group Limited, a Deputy General Manager of Sinotrans & CSC Holdings Co. Ltd. (Group Beijing Headquarters), the Assistant Department Head of the Transportation and Logistics Department of China Merchants Group Limited/Group Beijing Headquarters and the Executive Director and General Manager of Sinotrans & CSC Industrial Development Co. Ltd., the Executive Director and General Manager of Sinotrans & CSC Industrial Development Co. Ltd. and a Deputy General Manager of the Asset Management Center of the Transportation and Logistics Department of China Merchants Group Limited/Group Beijing Headquarters (Sinotrans & CSC Holdings Co. Ltd.), and a Deputy General Manager of Sinotrans & CSC Industrial Development Co. Ltd. Sun Jianfeng, male, born in 1972, graduated from the Central College of Finance and Banking (now known as Central University of Finance and Economics), majoring in International Finance with a Bachelor’s degree of Economics. Mr. Sun currently serves as a professional external Director appointed by China Merchants Group Limited. Mr. Sun has successively served as a Trader of Securities Department, an Audit Specialist, an Investment Manager, a Deputy General Manager of the President’s Office and the General Manager of the Administration Department in the former China Ocean Shipping (Group) Company and its subsidiaries, and a Director and the General Manager of COSCO Datang Shipping Co. Ltd. He joined China Merchants Group (comprising China Merchants Group Limited together with its subsidiaries) in December 2016, and has successively served as a Deputy General Manager of Guangzhou Haishun Shipping Co. Ltd., a Deputy General Manager of China Merchants Finance Co. Ltd., a Deputy Head of the Supervision Department of China Merchants Group Limited, and a Deputy General Manager of China Merchants Energy Shipping Co. Ltd. As at the date of this announcement, the members of the Board of the Company are Zhang Yi (Chairman), Gao Xiang, Luo Li, Huang Chuanjing, Jerry Hsu, Gong Weiguo, and four independent non-executive directors, namely Wang Xiaoli, Ning Yaping, Cui Xinjian and Cui Fan. As at the date of this announcement, the Board has set up four board committees, namely Audit Committee, Remuneration Committee, Nomination Committee and Strategy and Sustainable Development Committee.
