Great Wall Motor Company Limited Announces Management Changes, Effective from July 24, 2026

Great Wall Motor Company Limited announced that Ms. Li Hong Shuan had tendered her resignation as the company secretary of the Company due to her personal work adjustment, with effect from July 24, 2026. Previously, upon the expiry of the term of office of the eighth session of the Board of the Company on June 26, 2026, Ms. Li Hong Shuan ceased to serve as the secretary to the Board of the Company. Following her resignation from the above-mentioned positions, Ms. Li Hong Shuan continued to serve as an executive Director and the chief financial officer of the Company, as well as an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. The Board further announced that Ms. Yuan Yuan had been appointed as the joint company secretary and Authorised Representative of the Company for a term of three years, with effect from July 24, 2026. Ms. Li Chiao Ling had been appointed as another joint company secretary of the Company to assist Ms. Yuan Yuan in discharging the duties of joint company secretary for a term of three years, with effect from July 24, 2026. In accordance with the relevant requirements including the Regulatory Rules for Board Secretaries of Listed Companies and the Rules Governing the Listing of Stocks on Shanghai Stock Exchange, the Company appointed Ms. Yuan Yuan as the new secretary to the Board of the Company, with a term of office commencing from July 24, 2026 to the expiry date of the term of office of the ninth session of the Board of the Company. Ms. Yuan Yuan, aged 45, has served as the secretary to the Board and a joint company secretary of the Company since July 24, 2026. Ms. Yuan Yuan joined the Company in February 2023 and has served as the general manager of securities business at the securities investment department since then. Prior to joining the Company, Ms. Yuan Yuan has over 17 years of working experience in investment banking, including financings as well as mergers and acquisitions for listed corporations in domestic and overseas capital market. She engaged in investment banking business at various subsidiaries of UBS AG from July 2005 to January 2023. Her last positions were executive director and head of General Industries Group in Global Banking department at UBS Securities Co. Ltd. She obtained the qualification as a registered sponsor representative of A shares. Ms. Yuan Yuan obtained a bachelor’s degree in economics majoring in Finance and a master’s degree in economics majoring in International Trade from the School of Economics and Management of Tsinghua University in July 2003 and July 2005, respectively. Ms. Li Chiao Ling is a member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute in the United Kingdom. She is a manager of company secretarial services department of TMF Hong Kong Limited, responsible for providing company secretarial and compliance services to clients. Ms. Li Chiao Ling has over 15 years of experience in company secretarial field, serving clients across a wide range of industries, and possesses extensive knowledge and experience in corporate governance and compliance matters. Ms. Li Chiao Ling is currently a company secretary of Ming Yuan Cloud Group Holdings Limited and a joint company secretary of Beijing Xunzhong Communication Technology Co. Ltd.
