Datang Environment Industry Group Co., Ltd. Announces Board and Committee Changes, Effective June 30, 2026

Datang Environment Industry Group Co., Ltd., As disclosed in the announcement of the Company dated 15 June 2026 and Supplemental Circular, Due to work re-arrangement, Mr. Zhu Liming (Mr. Zhu) has tendered his resignation as an executive Director, the chairman of the Board (the Chairman), an authorised representative under Rule 3.05 of the Listing Rules (the Authorised Representative), a member of the nomination committee of the Company (the Nomination Committee) and the chairperson of the strategy and investment committee of the Company (the Strategy and Investment Committee); Due to work re-arrangement, Mr. Xu Chun (Mr. Xu Chun) has tendered his resignation as a non-executive Director; and Due to retirement, Mr. Xia Huaixiang (Mr. Xia) has tendered his resignation as a non-executive Director, and a member of the Strategy and Investment Committee. (collectively, the Resignation). The Resignation has become effective from the conclusion of the 2025 ASM on 30 June 2026. Each of Mr. Zhu, Mr. Xu Chun and Mr. Xia has confirmed that he has no disagreement with the Board and there are no other matters relating to the Resignation that need to be brought to the attention of the Shareholders, creditors of the Company or the Stock Exchange. At the Board meeting held immediately after the 2025 ASM, the Board has passed resolutions: appointing Mr. Xu Guang as an Authorised Representative with effect from 30 June 2026; and electing Mr. Xu Guang to assume the role of temporary performance of the duties and responsibilities of the Chairman of the fourth session of the Board until a new Chairman is elected by the Board with effect from 30 June 2026. For the avoidance of doubt, Mr. Xu Guang was not and will not be appointed as the Chairman by virtue of the proposed resolution at the 2025 ASM, and the temporary performance of the duties and responsibilities of the Chairman by Mr. Xu Guang, as approved by the Board, will not constitute his appointment as the Chairman. Immediately after the 2025 ASM, the fourth session of the Board consists of eight Directors including seven non-employee representative Directors, namely Mr. Xu Guang as the executive Director; Mr. Pang Xiaojin, Mr. Chu Hongbo and Ms. Yang Ya as the non-executive Directors; Mr. Mao Zhuanjian, Mr. Suen Chun Hung, Benjamin and Ms. Hu Yunqing, as the independent non-executive Directors; as well as one employee representative Director, Ms. Wang Mi, as a non-executive Director. Following the appointment of Mr. Xu Guang as an Authorised Representative, the Authorised Representatives of the Company are Mr. Xu Guang and Mr. Li Lijian. Upon the Resignation becoming effective and at the Board meeting held immediately after the 2025 ASM, the Board has passed resolutions in relation to the following changes: Mr. Xu Guang was appointed as the chairperson of the Strategy and Investment Committee with effect from 30 June 2026; Mr. Chu Hongbo resigned as a member of the Remuneration and Evaluation Committee and was appointed as a member of the Strategy and Investment Committee with effect from 30 June 2026; and Ms. Yang Ya was appointed as a member of each of the Nomination Committee and the Remuneration and Evaluation Committee with effect from 30 June 2026. Following the Resignation and the above changes of committee members, the composition of the committees under the fourth session of the Board are shown as follows: Audit Committee The Audit Committee comprises three members, including Ms. Hu Yunqing, Mr. Chu Hongbo and Mr. Suen Chun Hung, Benjamin. Ms. Hu Yunqing serves as the chairperson of the Audit Committee. Nomination Committee: The Nomination Committee comprises three members, including Mr. Mao Zhuanjian, Ms. Yang Ya and Ms. Hu Yunqing. Mr. Mao Zhuanjian serves as the chairperson of the Nomination Committee. Remuneration and Evaluation Committee: The Remuneration and Evaluation Committee comprises three members, including Mr. Suen Chun Hung, Benjamin, Ms. Yang Ya and Mr. Mao Zhuanjian. Mr. Suen Chun Hung, Benjamin serves as the chairperson of the Remuneration and Evaluation Committee. Strategy and Investment Committee: The Strategy and Investment Committee comprises three members, including Mr. Xu Guang, Mr. Chu Hongbo and Mr. Mao Zhuanjian. Mr. Xu Guang serves as the chairperson of the Strategy and Investment Committee.
