China Shenhua Energy Company Limited Announces Resignation of Independent Non-Executive Directors

The Board of Directors of China Shenhua Energy Company Limited received the written resignations from Dr. Yuen Kwok Keung and Dr. Chen Hanwen (both independent non-executive Directors) on 28 May 2026. Dr. Yuen Kwok Keung and Dr. Chen Hanwen have served as independent non-executive Directors of the Company since 29 May 2020, and on 28 May 2026, their consecutive term of office has reached six years. Pursuant to the relevant laws and regulations of the People's Republic of China, they have tendered their resignations as independent non-executive Directors of the Company and as members of the relevant special committees of the Board. Following their resignations, they will no longer hold any other positions in the Company. In order to ensure the continuity of the operation of the Board and to comply with the relevant laws, regulations and the Company's articles of association, the resignations of Dr. Yuen Kwok Keung and Dr. Chen Hanwen shall take effect from the date of the appointment of the new independent non-executive Directors elected by the general meeting of the Company. Dr. Yuen Kwok Keung and Dr. Chen Hanwen confirm that they have no disagreement with the Board and there is no other matter relating to their resignations that needs to be brought to the attention of the shareholders and creditors of the Company. The Board, Dr. Yuen Kwok Keung and Dr. Chen Hanwen also confirm that there is no matter relating to their resignations that might affect the operation of the Company and its subsidiaries. Dr. Yuen Kwok Keung and Dr. Chen Hanwen will continue to perform their corresponding duties as independent non-executive Directors and members of the relevant special committees of the Board until the new independent non-executive Directors are elected at the general meeting of the Company and assume office. The Company will complete the by-election of the independent non-executive Directors and the election of members of the special committees of the Board as soon as practicable in accordance with the relevant regulations, and will fulfill its information disclosure obligations in a timely manner.
