Tongcheng Travel Holdings Limited Announces Board and Committee Changes, Effective July 10, 2026

Tongcheng Travel Holdings Limited announced that Mr. Xie Qing Hua resigned from his positions as the non-executive Director and the member of the Audit Committee with effect from July 10, 2026 due to his other work commitment. Mr. Xie confirmed that he had no disagreement with the Board and there were no other matters with respect to his resignation that needed to be brought to the attention of the shareholders of the Company. Tongcheng Travel Holdings Limited announced that Ms. Li Huan Na was appointed as a non-executive Director and a member of the Audit Committee with effect from July 10, 2026. Ms. Li, aged 44, joined Tencent Holdings Limited in May 2011, and currently served as the head of treasury department of Tencent. Prior to that, Ms. Li served as an assurance manager in PricewaterhouseCoopers from 2004 to 2011. Ms. Li was a Chartered Financial Analyst (CFA), a Certified Accountant of China (CICPA), and a Certified Accountant of Australia (CPA Australia). Ms. Li obtained a bachelor’s degree in accounting and a minor bachelor’s degree in English from Sun Yat-Sen University in 2004. Upon her appointment, Ms. Li entered into a service contract with the Company as a non-executive Director for an initial term of one year, commencing from July 10, 2026. She would hold office until the next following annual general meeting of the Company after her appointment and would thereafter be subject to retirement by rotation and re-election in accordance with the provisions of the articles of association of the Company.
