TravelSky Technology Limited Approves Final Cash Dividend for the Year Ended December 31, 2025

TravelSky Technology Limited at its Annual General Meeting held on June 26, 2026, approved a final cash dividend for the year ended 31 December 2025 amounting to RMB 0.276 per Share (tax inclusive) to the Shareholders. The register of members of the Company for H Shares and Domestic Shares will be closed from 7 July 2026 to 10 July 2026 (both days inclusive). Holders of the H Shares and Domestic Shares whose names appeared on the register of members of the Company at the close of business on 10 July 2026 are entitled to receive the 2025 Dividend. Details of the arrangements for the payment of the 2025 Dividend to the Shareholders are set out as follows: The 2025 Dividend to be distributed to the H Shareholders will be paid in Hong Kong dollars. The exchange rate for calculating such dividend shall be based on the average of the median exchange rates of RMB against Hong Kong dollars as quoted by the People's Bank of China one calendar week preceding the date on which the dividend is declared (i.e. 26 June 2026). The amount of the 2025 Dividend payable per H Share is HKD 0.31734 (before tax). The Company has appointed Bank of China (Hong Kong) Limited as the receiving agent (the "Receiving Agent") in Hong Kong and will pay to the Receiving Agent the 2025 Dividend declared in respect of the H Shares, and the Receiving Agent will hold the dividend pending distribution to the relevant H Shareholders in a fiduciary capacity. Such 2025 Dividend (after deduction of applicable tax) will be paid by the Receiving Agent, and the relevant cheques will be dispatched by Computershare Hong Kong Investor Services Limited to the H Shareholders whose names appeared on the register of members of the Company at the close of business on 10 July 2026 by ordinary post at their own risk on or around 24 September 2026. From 24 September 2026, the Domestic Shareholders may contact the Company to collect the 2025 Dividend. Domestic Shareholders should carry out relevant taxation matters (if any) on their own in accordance with the PRC laws and regulations applicable to them. Shareholders are recommended to consult their tax advisers regarding Chinese mainland, Hong Kong and other tax implications arising from their holding and disposal of H Shares of the Company.
