TPG Inc. (NasdaqGS:TPG) entered into a stock purchase agreement to acquire 61.17% stake in LOTTE rental co.,ltd. (KOSE:A089860) from Hotel Lotte Co., Ltd. and Hotel Lotte Pusan Co., Ltd. for KRW 1.3 trillion.

TPG Inc. (NasdaqGS:TPG) entered into a stock purchase agreement to acquire 61.17% stake in LOTTE rental co.,ltd. (KOSE:A089860) from Hotel Lotte Co., Ltd. and Hotel Lotte Pusan Co., Ltd. for KRW 1.3 trillion on August 11, 2026. A cash consideration of KRW 1.3 trillion valued at KRW 59000 per share will be paid by TPG Inc, subject to adjustment if certain events occur before completion. As part of consideration, KRW 1.3 trillion is paid towards 22.21 million common equity of LOTTE rental co.,ltd. Lotte Group had previously lined up Affinity Equity Partners to buy the business in a deal valued at about KRW 1.6 trillion, only for the arrangement to collapse this year after the Fair Trade Commission blocked it. With that route closed, Lotte reopened the process, and TPG emerged as frontrunner ahead of KKR, Carlyle, EQT, and Bain Capital. At KRW 59,000 per share, TPG is paying below the roughly KRW 77,000 Affinity had agreed. The deal closes 14 business days after the conditions are met, pending clearance of the business combination by the Korea Fair Trade Commission. The Lotte units expect the largest shareholder to change on completion.
