Samsung Biologics Co.,Ltd. (KOSE:A207940) entered into a transaction agreement to acquire PolyPeptide Group AG (SWX:PPGN) from Draupnir Holding B.V. and others for CHF 1.5 billion on July 17, 2026. Under the terms of the agreement, Samsung Biologics agreed to make an all-cash public tender offer to acquire all publicly held registered shares of PolyPeptide for CHF 44.31 in cash per share. The Offer values PolyPeptide's equity at approximately CHF 1.46 billion. The transaction aims to provide PolyPeptide with the resources, investment capacity and strategic platform to pursue the next phase of its growth and innovation. Alongside Samsung Biologics’ global manufacturing scale and track record of operational excellence, PolyPeptide will also benefit from an aligned customer footprint. Draupnir Holding B.V. owning a stake of approximately 56.3% stake has been in support of the strategic review process and has committed to tender all of its shares into the offer. Once the offer has been successfully completed, Samsung Biologics intends to pursue a squeeze-out of any remaining minority shares and to delist PolyPeptide from the SIX Swiss Exchange. Upon completion, PolyPeptide will operate as a wholly owned subsidiary of Samsung Biologics. The transaction is subject to approval by the shareholders of PolyPeptide Group AG, minimum acceptance threshold of 66?%, applicable regulatory approvals, and other conditions. The Board of Directors of PolyPeptide Group AG formed a special committee for the transaction. The deal has been unanimously approved by the special committee of board of directors of PolyPeptide Group AG and recommends that PolyPeptide shareholders accept the tender offer. The tender offer is expected to be launched by the end of August 2026 by publication of the formal offer prospectus and will remain open for a minimum of twenty trading days on the SIX Swiss Exchange.
