Mutares SE & Co. KGaA (XTRA:MUX) signed an agreement to acquire Engineering Thermoplastics Business in the Americas & Europe of SABIC from Saudi Basic Industries Corporation (SASE:2010) for an enterprise value of $450 million on January 8, 2026. The transaction is for an enterprise value of $450 million, in addition to an agreed earn-out mechanism that could generate further value to SABIC based on the business’ free cash flow generation over the next four years, as well as in the event of a future sale of the business by MUTARES. A cash consideration will be paid by Mutares SE & Co. KGaA. Upon closing of the transaction, the new Chemicals & Materials segment will comprise the ETP Business as its core platform and will also include Venator Ultramarine Blue Pigments, further strengthening Mutares’ positioning in specialty chemicals and advanced materials. The business is generating approx. $2.5 billion in revenues. The transaction is subject to customary closing conditions and regulatory approvals, including employee consultation where relevant and is expected to close in the second half of 2026. On June 24, 2026, the European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of Jadeed Holding B.V. of the Netherlands and Plastics US Holding LLC of the US (together (‘Jadeed') by Mutares SE & Co KGaA (‘Mutares') of Germany.
