Thales S.A. (ENXTPA:HO) signed a binding agreement to acquire 35.66% stake in Exail Technologies (ENXTPA:EXA) from Gorgé family for approximately €810 million.

Thales S.A. (ENXTPA:HO) signed a binding agreement to acquire 35.66% stake in Exail Technologies (ENXTPA:EXA) from Gorgé family for approximately €810 million on July 6, 2026. Under the terms of the acquisition, Thales S.A. will pay €134 in cash per share. The acquisition will enable Thales and Exail to combine their complementary strengths and to accelerate their development in the field of quantum sensors. The purchase price of €134 per Exail share implies an EV/2027 EBIT multiple of 24x post cost synergies8 and 20x post cost and revenue synergies. Upon completion of the acquisition, Thales S.A. will launch a mandatory tender offer to acquire remaining 64.34% stake in Exail Technologies for €134 in cash per share. The transaction will be financed through mix of cash and debt to be raised. The transaction is subject to satisfaction of customary antitrust and regulatory approvals. The deal has been unanimously approved by the board of directors of Exail Technologies. The transaction is expected to close by Q3 2027. The transaction is anticipated to be accretive to Thales’s adjusted earnings per share in the first year post-acquisition.
