Poste Italiane S.p.A. (BIT:PST) commences share repurchases on August 3, 2026, under the program mandated by the shareholders in the Ordinary General Meeting held on June 18, 2026. As per the mandate, the company is authorized to repurchase up to 5,000,000 ordinary shares, representing 0.383% of its issued share capital, for €125 million. The shares will be repurchased at a price not higher than the higher of the price of the last transaction independent and the price of the current highest independent offer in the locations of negotiation where the purchase is made. In addition, the price shouldn’t deviate by more than 10% in decrease or increase compared to the reference price registered by the share in the session of the Stock Market organized and managed by Borsa Italiana SpA on the day before each single transaction. The purpose of the program is (i) the destination of the own shares to the fulfillment of the incentive plans, and (ii) hedging transactions in respect of the exposure arising from movements in the Poste Italiane share price in connection with the payment obligations deriving from the long-term variable remuneration ILT Phantom Stock Option (2026–2028). The program will be valid for 18 months from the date of passing of this resolution. As of March 29, 2023, the company had 1,306,110,000 issued shares and had 7,535,991 held in treasury. On July 31, 2026, the company announces a share repurchase program. Under the program, the company will repurchase its own shares. The repurchases will commence on August 3, 2026 and valid till August 31, 2026.
