Coupang Insiders Sell US$10m Of Stock, Possibly Signalling Caution

Many Coupang, Inc. (NYSE:CPNG) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Coupang Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief Financial Officer, Gaurav Anand, sold US$4.6m worth of shares at a price of US$22.75 per share. That means that an insider was selling shares at slightly below the current price (US$24.82). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 10% of Gaurav Anand's holding.

Insiders At Coupang Have Sold Stock Recently

Over the last three months, we've seen significant insider selling at Coupang. Specifically, Vice President of Search & Recommendations Pranam Kolari ditched US$212k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Coupang insiders own 9.0% of the company, currently worth about US$4.0b based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
