Some Elastic N.V. (NYSE:ESTC) shareholders may be a little concerned to see that the CEO & Executive Director, Ashutosh Kulkarni, recently sold a substantial US$1.5m worth of stock at a price of US$75.05 per share. That's a big disposal, and it decreased their holding size by 10%, which is notable but not too bad.
Elastic Insider Transactions Over The Last Year
The Co-Founder, Shay Banon, made the biggest insider sale in the last 12 months. That single transaction was for US$22m worth of shares at a price of US$114 each. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The silver lining is that this sell-down took place above the latest price (US$76.31). So it may not shed much light on insider confidence at current levels.
In total, Elastic insiders sold more than they bought over the last year. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Does Elastic Boast High Insider Ownership?
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Elastic insiders own 12% of the company, currently worth about US$1.0b based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
So What Does This Data Suggest About Elastic Insiders?
The stark truth for Elastic is that there has been more insider selling than insider buying in the last three months. Despite some insider buying, the longer term picture doesn't make us feel much more positive. It is good to see high insider ownership, but the insider selling leaves us cautious. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
