Varonis Systems Insider Lowered Holding By 35% During Last Year

Looking at Varonis Systems, Inc.'s (NASDAQ:VRNS ) insider transactions over the last year, we can see that insiders were net sellers. That is, there were more number of shares sold by insiders than there were purchased.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Varonis Systems Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the CFO & COO, Guy Melamed, sold US$4.9m worth of shares at a price of US$54.28 per share. So we know that an insider sold shares at around the present share price of US$49.71. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive). The only individual insider seller over the last year was Guy Melamed.

Insider Ownership Of Varonis Systems

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Varonis Systems insiders own about US$143m worth of shares (which is 2.6% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

What Might The Insider Transactions At Varonis Systems Tell Us?

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Varonis Systems insider transactions don't fill us with confidence. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. At Simply Wall St, we found 1 warning sign for Varonis Systems that deserve your attention before buying any shares.
