Caleres Insiders Sold US$930k Of Shares Suggesting Hesitancy

The fact that multiple Caleres, Inc. (NYSE:CAL) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Caleres

Over the last year, we can see that the biggest insider sale was by the insider, Mark Schmitt, for US$753k worth of shares, at about US$41.01 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The good news is that this large sale was at well above current price of US$18.33. So it may not tell us anything about how insiders feel about the current share price.

Over the last three months, we've seen significant insider buying at Caleres. We can see that Director Kyle Gendreau paid US$100k for shares in the company. No-one sold. This could be interpreted as suggesting a positive outlook.

Does Caleres Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Caleres insiders own 3.9% of the company, worth about US$25m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Caleres Insiders?

It is good to see the recent insider purchase. On the other hand the transaction history, over the last year, isn't so positive. We don't take much heart from transactions by Caleres insiders over the last year. But they own a reasonable amount of the company, and there was some buying recently. So they seem pretty well aligned, overall. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Case in point: We've spotted 1 warning sign for Caleres you should be aware of.
