The fact that multiple Choice Hotels International, Inc. (NYSE:CHH) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Choice Hotels International Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief Development Officer, David Pepper, sold US$1.2m worth of shares at a price of US$119 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$147. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 11% of David Pepper's holding.

Does Choice Hotels International Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Choice Hotels International insiders own about US$1.8b worth of shares (which is 22% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Choice Hotels International Insiders?

The fact that there have been no Choice Hotels International insider transactions recently certainly doesn't bother us. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Choice Hotels International insider transactions don't fill us with confidence.
