Century Communities Insiders Sell US$11m Of Stock, Possibly Signalling Caution

Over the past year, many Century Communities, Inc. (NYSE:CCS) insiders sold a significant stake in the company which may have piqued investors' interest. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. Over the last year, we can see that the biggest insider sale was by the CEO, President & Director, Robert Francescon, for US$4.6m worth of shares, at about US$92.64 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The silver lining is that this sell-down took place above the latest price (US$68.07). So it is hard to draw any strong conclusion from it.

Does Century Communities Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Century Communities insiders own about US$308m worth of shares (which is 15% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

While we feel good about high insider ownership of Century Communities, we can't say the same about the selling of shares.
