Whilst it may not be a huge deal, we thought it was good to see that Brian Brunner, who is a company insider, recently bought US$97k worth of stock, for US$34.76 per share. However, it only increased their shares held by 6.2%, and it wasn't a huge purchase by absolute value, either.

Orrstown Financial Services Insider Transactions Over The Last Year

The Executive VP & Market President for the Maryland Region, Christopher Holt, made the biggest insider sale in the last 12 months. That single transaction was for US$273k worth of shares at a price of US$34.16 each. That means that an insider was selling shares at below the current price (US$34.51). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 32% of Christopher Holt's holding.

Over the last year, we can see that insiders have bought 5.10k shares worth US$173k. On the other hand they divested 12.00k shares, for US$425k. Over the last year we saw more insider selling of Orrstown Financial Services shares, than buying. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership

Many investors like to check how much of a company is owned by insiders. We usually like to see fairly high levels of insider ownership. Insiders own 4.5% of Orrstown Financial Services shares, worth about US$30m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Orrstown Financial Services Insiders?

The recent insider purchases are heartening. But we can't say the same for the transactions over the last 12 months. We don't take much heart from transactions by Orrstown Financial Services insiders over the last year. But they own a reasonable amount of the company, and there was some buying recently. Overall they seem reasonably aligned. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
