In the last year, many Axcelis Technologies, Inc. (NASDAQ:ACLS) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Axcelis Technologies

Over the last year, we can see that the biggest insider sale was by the Independent Chairman, Jorge Titinger, for US$669k worth of shares, at about US$110 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$59.91. So it may not shed much light on insider confidence at current levels.

Happily, we note that in the last year insiders paid US$61k for 540.00 shares. But insiders sold 7.29k shares worth US$807k. In total, Axcelis Technologies insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership Of Axcelis Technologies

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 1.1% of Axcelis Technologies shares, worth about US$22m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Axcelis Technologies Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by Axcelis Technologies insiders. The modest level of insider ownership is, at least, some comfort. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Axcelis Technologies.
