Possible Bearish Signals With IMAX Insiders Disposing Stock

A number of IMAX Corporation (NYSE:IMAX) insiders sold their shares in the last year, which may have raised concerns among investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At IMAX

Over the last year, we can see that the biggest insider sale was by the Chief Legal Officer & Senior EVP, Robert Lister, for US$422k worth of shares, at about US$16.87 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$20.08. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 15% of Robert Lister's holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. IMAX insiders own 19% of the company, currently worth about US$211m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About IMAX Insiders?

The fact that there have been no IMAX insider transactions recently certainly doesn't bother us. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the IMAX insiders selling.
