Insiders At Cars.com Sold US$3.7m In Stock, Alluding To Potential Weakness
Many Cars.com Inc. (NYSE:CARS) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.
The Last 12 Months Of Insider Transactions At Cars.com
Over the last year, we can see that the biggest insider sale was by the Chief Financial Officer, Sonia Jain, for US$984k worth of shares, at about US$19.74 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$12.24. So it is hard to draw any strong conclusion from it.
Cars.com insiders didn't buy any shares over the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Does Cars.com Boast High Insider Ownership?
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Cars.com insiders own about US$13m worth of shares. That equates to 1.6% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
So What Do The Cars.com Insider Transactions Indicate?
The fact that there have been no Cars.com insider transactions recently certainly doesn't bother us. Still, the insider transactions at Cars.com in the last 12 months are not very heartening. The modest level of insider ownership is, at least, some comfort. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Every company has risks, and we've spotted 3 warning signs for Cars.com (of which 1 is potentially serious!) you should know about.
