In the last year, many Integer Holdings Corporation (NYSE:ITGR) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Integer Holdings Insider Transactions Over The Last Year

The President of Cardio & Vascular, Payman Khales, made the biggest insider sale in the last 12 months. That single transaction was for US$992k worth of shares at a price of US$114 each. That means that an insider was selling shares at slightly below the current price (US$133). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 46% of Payman Khales's holding.

Insiders own 1.5% of Integer Holdings shares, worth about US$69m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
