Many RB Global, Inc. (NYSE:RBA) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

RB Global Insider Transactions Over The Last Year

The insider, Baron Concors, made the biggest insider sale in the last 12 months. That single transaction was for US$1.3m worth of shares at a price of US$76.80 each. That means that an insider was selling shares at slightly below the current price (US$91.33). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 48% of Baron Concors's holding. Notably Baron Concors was also the biggest buyer, having purchased US$993k worth of shares.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that RB Global insiders own 0.09% of the company, worth about US$15m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The RB Global Insider Transactions Indicate?

The fact that there have been no RB Global insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by RB Global insiders. The modest level of insider ownership is, at least, some comfort. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
