Possible Bearish Signals With Old Second Bancorp Insiders Disposing Stock
Many Old Second Bancorp, Inc. (NASDAQ:OSBC) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.
Old Second Bancorp Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the Vice Chairman of the Board, Gary Collins, for US$586k worth of shares, at about US$14.57 per share. That means that an insider was selling shares at slightly below the current price (US$15.28). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 23% of Gary Collins's holding.
Happily, we note that in the last year insiders paid US$102k for 5.72k shares. On the other hand they divested 105.74k shares, for US$1.6m. In total, Old Second Bancorp insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Have Old Second Bancorp Insiders Traded Recently?
There was only a small bit of insider buying, worth US$418, in the last three months. Looking at the net result, we don't think these recent trades shed much light on how insiders, as a group, are feeling about the company's prospects.
Does Old Second Bancorp Boast High Insider Ownership?
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Old Second Bancorp insiders own 3.8% of the company, worth about US$29m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
So What Does This Data Suggest About Old Second Bancorp Insiders?
Our data shows a little insider buying, but no selling, in the last three months. Overall the buying isn't worth writing home about. Still, the insider transactions at Old Second Bancorp in the last 12 months are not very heartening. The modest level of insider ownership is, at least, some comfort.
