Censof Holdings Berhad (KLSE:CENSOF) entered into a Share Sale and Purchase Agreement to acquire additional 30.9% stake in Asian Business Software Solutions Pte Ltd from Paul Alistair Jennings, Charles William Fox and Lum Choong Eu for MYR 14.1 million on January 25, 2021. CENSOF will acquire 0.162 million shares and currently holds 58.2% stake and post completion will holds 89.1% stake in Asian Business Software Solutions Pte Ltd. For the financial year ended March 31, 2020 Asian Business Software Solutions Pte Ltd has revenue of MYR 5.2 million, net profit of MYR 1.3 million, total assets of MYR 2.7 million and net assets of MYR 0.81 million. Paul Alistair Jennings will sell 0.117 million shares at MYR 10.2 million, Charles William Fox will sell 38220 shares for MYR 3.3 million and Lum Choong Eu will sell 6615 shares for MYR 0.57 million. The Purchase Consideration for the Proposed Acquisition shall be fully paid to the Sellers on the Completion Date. Rubaneswaran A/L Thevasenabathy entered into a sale and purchase of shares agreement to acquire 70% stake in Knowledgecom Sdn. Bhd. from Censof Holdings Berhad (KLSE:CENSOF) for MYR 1.5 million on May 4, 2020. Under the term, Rubaneswaran will pay the consideration in two installment, the first installment of MYR 0.9 million will be paid on May 4, 2020 and the second installment of MYR 0.6 million be paid on August 30, 2020.
