A cash consideration will be paid by Creative Newtech Limited.
The Board of Directors has approved the budget of up to $4 million for the proposed acquisition. This budget includes the consideration payable to the Infinova Group at closing, acquisition-related transaction costs, and professional fees and expenses incurred in connection with the proposed acquisition. The final consideration will be subject to satisfactory due diligence, valuation reports for acquisition, closing adjustments of working capital and execution of definitive agreements.
The transaction is subject to consummation of due diligence investigation, subject to applicable corporate, statutory, regulatory and contractual approvals, approval of offer by acquirer board and definitive agreement. The deal has been approved by the board.
