Insiders At Synopsys Sold US$15m In Stock, Alluding To Potential Weakness

Over the past year, many Synopsys, Inc. (NASDAQ:SNPS) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Synopsys Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Lead Independent Director, Roy Vallee, for US$5.7m worth of shares, at about US$573 per share. So what is clear is that an insider saw fit to sell at around the current price of US$528. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insiders At Synopsys Have Sold Stock Recently

Over the last three months, we've seen significant insider selling at Synopsys. Specifically, Chief Revenue Officer Richard Mahoney ditched US$3.2m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Does Synopsys Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Synopsys insiders own about US$485m worth of shares (which is 0.6% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

An insider hasn't bought Synopsys stock in the last three months, but there was some selling. And our longer term analysis of insider transactions didn't bring confidence, either. But since Synopsys is profitable and growing, we're not too worried by this. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales.
