AvePoint Insiders Sell US$938k Of Stock, Possibly Signalling Caution
AvePoint, Inc. (NASDAQ:AVPT) shareholders might have a reason to worry after multiple insiders sold their shares over the last year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

AvePoint Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Chief Financial Officer, James Caci, sold US$362k worth of shares at a price of US$9.12 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$12.24. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 8.6% of James Caci's holding.
In the last year AvePoint insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. By clicking on the graph below, you can see the precise details of each insider transaction!

Insiders At AvePoint Have Sold Stock Recently
Over the last three months, we've seen significant insider selling at AvePoint. Specifically, insider Zhijian Lu ditched US$325k worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
Insider Ownership Of AvePoint
Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that AvePoint insiders own 37% of the company, worth about US$805m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
What Might The Insider Transactions At AvePoint Tell Us?
An insider sold AvePoint shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. In terms of investment risks, we've identified 1 warning sign with AvePoint and understanding this should be part of your investment process.
