Are Insiders Selling Target Corporation (NYSE:TGT) Stock?

We often see insiders buying up shares in companies that perform well over the long term. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we'll take a look at whether insiders have been buying or selling shares in Target Corporation (NYSE:TGT).

What Is Insider Buying?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Target

Over the last year, we can see that the biggest insider sale was by the Executive VP & Chief Information Officer, Michael McNamara, for US$6.4m worth of shares, at about US$205 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$247. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 21% of Michael McNamara's holding.

Insiders at Target Have Sold Stock Recently

The last quarter saw substantial insider selling of Target shares. In total, insiders dumped US$9.3m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Target insiders own 0.2% of the company, currently worth about US$292m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

Insiders sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. But since Target is profitable and growing, we're not too worried by this. It is good to see high insider ownership, but the insider selling leaves us cautious.
