Did Clipper Realty Inc. (NYSE:CLPR) Insiders Buy Up More Shares?
We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we'll take a look at whether insiders have been buying or selling shares in Clipper Realty Inc. (NYSE:CLPR).
What Is Insider Buying?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Clipper Realty
The Co-Chairman & CEO David Bistricer made the biggest insider purchase in the last 12 months. That single transaction was for US$611k worth of shares at a price of US$5.73 each. That implies that an insider found the current price of US$5.99 per share to be enticing. That means they have been optimistic about the company in the past, though they may have changed their mind. If someone buys shares at well below current prices, it's a good sign on balance, but keep in mind they may no longer see value. The good news for Clipper Realty share holders is that insiders were buying at near the current price.
In the last twelve months Clipper Realty insiders were buying shares, but not selling. They paid about US$6.90 on average. I'd consider this a positive as it suggests insiders see value at around the current price. Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Our data indicates that Clipper Realty insiders own about US$9.7m worth of shares (which is 3.7% of the company). Overall, this level of ownership isn't that impressive, but it's certainly better than nothing!
So What Do The Clipper Realty Insider Transactions Indicate?
There haven't been any insider transactions in the last three months -- that doesn't mean much. But insiders have shown more of an appetite for the stock, over the last year. The transactions are fine but it'd be more encouraging if Clipper Realty insiders bought more shares in the company. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing. In terms of investment risks, we've identified 1 warning sign with Clipper Realty and understanding this should be part of your investment process.
