We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we'll take a look at whether insiders have been buying or selling shares in Rubius Therapeutics, Inc. (NASDAQ:RUBY).

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

Insider transactions are not the most important thing when it comes to long-term investing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

Rubius Therapeutics Insider Transactions Over The Last Year

The insider Christina Coughlin made the biggest insider purchase in the last 12 months. That single transaction was for US$105k worth of shares at a price of US$5.52 each. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$11.18. Because it occurred at a lower valuation, it doesn't tell us much about whether insiders might find today's price attractive.

While Rubius Therapeutics insiders bought shares during the last year, they didn't sell. Their average price was about US$4.75. To my mind it is good that insiders have invested their own money in the company. But we must note that the investments were made at well below today's share price. Does Rubius Therapeutics Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Rubius Therapeutics insiders own 7.6% of the company, worth about US$69m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
