Yelp Insiders Sell US$1.3m Of Stock, Possibly Signalling Caution
The fact that multiple Yelp Inc. (NYSE:YELP) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Yelp Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the Chief People Officer, Carmen Amara, for US$569k worth of shares, at about US$38.00 per share. So what is clear is that an insider saw fit to sell at around the current price of US$35.15. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Does Yelp Boast High Insider Ownership?
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. It appears that Yelp insiders own 2.5% of the company, worth about US$57m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by Yelp insiders. But we do like the fact that insiders own a fair chunk of the company. Of course, the future is what matters most.
