Possible Bearish Signals With Primoris Services Insiders Disposing Stock
The fact that multiple Primoris Services Corporation (NYSE:PRIM) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
Primoris Services Insider Transactions Over The Last Year
The insider, Thomas McCormick, made the biggest insider sale in the last 12 months. That single transaction was for US$3.9m worth of shares at a price of US$64.55 each. That means that an insider was selling shares at slightly below the current price (US$86.61). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was 57% of Thomas McCormick's stake.

Over the last three months, we've seen significant insider selling at Primoris Services. Specifically, Independent Director John Schauerman ditched US$1.2m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
Insider Ownership Of Primoris Services
For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 1.0% of Primoris Services shares, worth about US$47m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
What Might The Insider Transactions At Primoris Services Tell Us?
An insider sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. But it is good to see that Primoris Services is growing earnings. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. So we'd only buy after careful consideration.
