ROC CVW Co-investment Trust, Roc Private Investment Fund managed by ROC Partners Pty Limited and others for approximately AUD 410 million on February 24, 2026. A cash consideration valued at AUD 0.65 per share will be paid by Zurich Financial Services Australia Limited less the cash amount of any Permitted Dividend determined to be paid or declared by the ClearView Board prior to the implementation of the Scheme, plus the Ticking Fee (if applicable). The Scheme Consideration of AUD 0.65 per ClearView Share (excluding the Ticking Fee) implies an equity value for ClearView of approximately AUD 415 million. A Break Fee (payable by ClearView to Zurich) and a Reverse Break Fee (payable by Zurich to ClearView) will be payable under the Scheme Implementation Deed (SID) in certain, customary circumstances. The amount of the Break Fee and Reverse Break Fee (should either become payable) is an amount equal to 1% of the aggregate Scheme Consideration of AUD 0.65 per ClearView Share payable by Zurich in respect of all the ClearView Shares under the Scheme.
The transaction is subject to court approval, approval by Australian Competition and Consumer Commission, approval by Australian Prudential Regulation Authority, approval by ClearView shareholders, The Independent Expert concludes in the Independent Expert’s Report, and continues to conclude, that the Scheme is in the best interests of ClearView Shareholders, and if there being no superior proposal and if any delays in implementation could trigger a ticking fee if the transaction extends beyond September 30, 2026. The ClearView Directors unanimously recommend that ClearView Shareholders vote in favor of the Scheme at the Scheme Meeting. The scheme is expected to be effective by late August 2026. Australian Competition and Consumer Commission approved the transaction. As per the announcement dated June 23, 2026 the transaction is expected to close on August 20, 2026. As of July 22, 2026 the deal has been approved by the Australian Prudential Regulation Authority. As of July 27, 2026 the deal has been approved by the target shareholders. As of July 30, 2026 the deal has been approved by the Supreme Court of New South Wales.
