Possible Bearish Signals With ON Semiconductor Insiders Disposing Stock
Over the past year, many ON Semiconductor Corporation (NASDAQ:ON) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.
The Last 12 Months Of Insider Transactions At ON Semiconductor
Over the last year, we can see that the biggest insider sale was by the Executive VP, Thad Trent, for US$2.8m worth of shares, at about US$72.55 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$45.04. So it may not tell us anything about how insiders feel about the current share price.
ON Semiconductor insiders didn't buy any shares over the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. By clicking on the graph below, you can see the precise details of each insider transaction!

The last quarter saw substantial insider selling of ON Semiconductor shares. In total, Independent Chair of the Board Alan Campbell sold US$432k worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
Does ON Semiconductor Boast High Insider Ownership?
For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. ON Semiconductor insiders own about US$71m worth of shares. That equates to 0.4% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
So What Does This Data Suggest About ON Semiconductor Insiders?
An insider sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases.
