Possible Bearish Signals With FormFactor Insiders Disposing Stock
Quite a few FormFactor, Inc. (NASDAQ:FORM) insiders sold their shares over the past year, which may be a cause for concern. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.
While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At FormFactor
Over the last year, we can see that the biggest insider sale was by the Independent Chairman & Lead independent Director, Thomas Dennis, for US$420k worth of shares, at about US$32.31 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$33.12. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 30% of Thomas Dennis's holding.

Insider Ownership
For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that FormFactor insiders own 1.1% of the company, worth about US$27m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
