We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So before you buy or sell Gannett Co., Inc. (NYSE:GCI), you may well want to know whether insiders have been buying or selling.
What Is Insider Selling?
It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

The Last 12 Months Of Insider Transactions At Gannett
The Chairman Michael Reed made the biggest insider purchase in the last 12 months. That single transaction was for US$382k worth of shares at a price of US$3.82 each. So it's clear an insider wanted to buy, even at a higher price than the current share price (being US$2.91). It's very possible they regret the purchase, but it's more likely they are bullish about the company. We always take careful note of the price insiders pay when purchasing shares. It is generally more encouraging if they paid above the current price, as it suggests they saw value, even at higher levels.
Gannett insiders may have bought shares in the last year, but they didn't sell any. Their average price was about US$2.48. It's great to see insiders putting their own cash into the company's stock, albeit at below the recent share price. Does Gannett Boast High Insider Ownership?
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 5.3% of Gannett shares, worth about US$20m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
So What Does This Data Suggest About Gannett Insiders?
