Perimeter Solutions Insiders Sold US$3.8m Of Shares Suggesting Hesitancy

The fact that multiple Perimeter Solutions, Inc. (NYSE:PRM) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Perimeter Solutions Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the CEO & Director, Haitham Khouri, for US$3.2m worth of shares, at about US$12.17 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$13.41. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 15% of Haitham Khouri's stake.

Over the last year we saw more insider selling of Perimeter Solutions shares, than buying. Insider Ownership

Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Perimeter Solutions insiders own about US$111m worth of shares (which is 5.6% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
