Insiders At Crocs Sold US$9.1m In Stock, Alluding To Potential Weakness

The fact that multiple Crocs, Inc. (NASDAQ:CROX) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Crocs Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the CEO & Director, Andrew Rees, sold US$1.6m worth of shares at a price of US$160 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$99.57. So it may not tell us anything about how insiders feel about the current share price.

In the last twelve months insiders purchased 7.21k shares for US$849k. On the other hand they divested 67.67k shares, for US$9.1m. All up, insiders sold more shares in Crocs than they bought, over the last year. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Crocs Insiders Are Selling The Stock

Does Crocs Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. It's great to see that Crocs insiders own 3.3% of the company, worth about US$187m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The Crocs Insider Transactions Indicate?

Insiders sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. On the plus side, Crocs makes money, and is growing profits. It is good to see high insider ownership, but the insider selling leaves us cautious. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Crocs. For example, Crocs has 3 warning signs (and 1 which is significant) we think you should know about.
