Over the past year, many Tecnoglass Inc. (NYSE:TGLS) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Tecnoglass

In the last twelve months, the biggest single sale by an insider was when the CEO & Director, José Daes, sold US$12m worth of shares at a price of US$42.26 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$34.31. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 1.3% of Tecnoglass shares, worth about US$21m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Tecnoglass Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Tecnoglass shares in the last quarter. Still, the insider transactions at Tecnoglass in the last 12 months are not very heartening.
