Bendigo and Adelaide Bank Limited (ASX:BEN) agreed to acquire Retail lending assets and deposits of Members Banking Group Limited on December 4, 2025. Purchase price to be based on book value at completion, which comprised AUD 2.7 billion of retail loans and AUD 2.5 billion of retail deposits as on June 30, 2025. The deal is expected to be funded from cash reserves. Transaction is expected to be cash EPS accretive.

Margaret is an executive with extensive global experience across financial services including retail banking, institutional banking and wealth management. Margaret also has significant non-executive experience covering publicly listed companies, subsidiaries of large, listed companies and responsible entities for investment schemes and trusts for both public and private markets. She has worked in Australia, Asia and the UK. Margaret's most recent executive postion was AMP Capital's Chief Financial Officer and Chief Operating Officer for the asset management division and she has held roles as Group Managing Director of Strategy and Marketing at ANZ Banking Group as well as Chief Financial Officer for ANZ's retail bank and General Manager Group Finance for Westpac. Prior to that, Margaret was Schroders Finance Director, responsible for the operational areas for its markets and wealth business in Asia ex-Japan. Margaret drove the execution of the sale of the investment banking business to Citigroup in Asia and then became the Chief Financial Officer and Chief Operating Officer for Citigroup Australia's Corporate and Investment Bank. Margaret holds a Bachelor of Arts with honours in French with Pure Mathematics from London University and is a Fellow of the Institute of Chartered Accountants in England and Wales. Margaret will be a member of the Board Risk and Board Financial Risk Committee. Margaret will seek election at BEN's Annual General Meeting on 24 October 2023. BOQ Reportedly in Talks on Bendigo Merger Bank of Queensland Limited (ASX:BOQ) is in early talks over a $10 billion-plus merger with Bendigo and Adelaide Bank Limited (ASX:BEN)k, according to sources in the market, just months after the surprise departure of its chief executive George Frazis. Mr. Frazis stepped down as BOQ CEO in November as the lender's board made plans to change its strategic priorities. Belinda is an experienced corporate lawyer and governance professional with extensive experience assisting listed, non-listed and not-for-profit organisations, in mergers and acquisitions, commercial law, corporate governance and advisory matters. Belinda holds a Bachelor of Commerce (Economics) and a Bachelor of Laws and is admitted as a solicitor of the Supreme Court of Victoria and the High Court of Australia. Belinda is a member of the Australian Institute of Company Directors and a Fellow of the Governance Institute of Australia. Belinda will be the person responsible for communications with the ASX in relation to listing rule matters under Listing Rule 12.6.
