Insiders Could Have Profited By Holding onto Vipul Shares Despite 17% Drop
Even though Vipul Limited (NSE:VIPULLTD) has fallen by 17% over the past week , insiders who sold ₹70m worth of stock over the past year have had less luck. Given that the average selling price of ₹23.75 is still lower than the current share price, insiders would probably have been better off keeping their shares.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.
The Last 12 Months Of Insider Transactions At Vipul
Over the last year, we can see that the biggest insider sale was by the MD, CEO, Punit Beriwala, for ₹70m worth of shares, at about ₹23.75 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of ₹7.46. So it is hard to draw any strong conclusion from it. Punit Beriwala was the only individual insider to sell over the last year.

Insider Ownership
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Insiders own 27% of Vipul shares, worth about ₹288m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
So What Do The Vipul Insider Transactions Indicate?
There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Vipul insider transactions don't fill us with confidence. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. For the purposes of this article, insiders are those individuals who report their transactions to the relevant regulatory body. We currently account for open market transactions and private dispositions of direct interests only, but not derivative transactions or indirect interests.
