We often see insiders buying up shares in companies that perform well over the long term. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Hiscox Ltd (LON:HSX), you may well want to know whether insiders have been buying or selling.

What Is Insider Buying?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

Insider transactions are not the most important thing when it comes to long-term investing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Hiscox

The Independent Non Executive Director Caroline Foulger made the biggest insider purchase in the last 12 months. That single transaction was for UK£52k worth of shares at a price of UK£10.48 each. That means that an insider was happy to buy shares at above the current price of UK£10.00. It's very possible they regret the purchase, but it's more likely they are bullish about the company. We always take careful note of the price insiders pay when purchasing shares. It is generally more encouraging if they paid above the current price, as it suggests they saw value, even at higher levels.

Insiders at Hiscox Have Bought Stock Recently

We saw some Hiscox insider buying shares in the last three months. Senior Independent Director Colin Keogh purchased UK£14k worth of shares in that period. We like it when there are only buyers, and no sellers. But in this case the amount purchased means the recent transaction may not be very meaningful on its own.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. Hiscox insiders own about UK£51m worth of shares. That equates to 1.5% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Hiscox Insiders?

On a brighter note, the transactions over the last year are encouraging. Insiders own shares in Hiscox and we see no evidence to suggest they are worried about the future.
