We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So before you buy or sell Polar Capital Holdings plc (LON:POLR), you may well want to know whether insiders have been buying or selling.

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At Polar Capital Holdings

Over the last year, we can see that the biggest insider sale was by the Founder & Non-Executive Director, Brian Jonathan Ashford-Russell, for UK£625k worth of shares, at about UK£5.07 per share. That means that even when the share price was below the current price of UK£6.70, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 2.7% of Brian Jonathan Ashford-Russell's stake. Brian Jonathan Ashford-Russell was the only individual insider to sell over the last year.

In the last twelve months insiders purchased 45.01k shares for UK£203k. But they sold 286.54k shares for UK£1.4m. Brian Jonathan Ashford-Russell ditched 286.54k shares over the year. The average price per share was UK£5.00. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Does Polar Capital Holdings Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Polar Capital Holdings insiders own about UK£104m worth of shares (which is 16% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The Polar Capital Holdings Insider Transactions Indicate?

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Polar Capital Holdings insider transactions don't fill us with confidence.
