Have Insiders Been Selling Churchill China plc (LON:CHH) Shares?
It is not uncommon to see companies perform well in the years after insiders buy shares. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Churchill China plc (LON:CHH).
Do Insider Transactions Matter?
Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, most countries require that the company discloses such transactions to the market.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At Churchill China
Over the last year, we can see that the biggest insider sale was by the CEO & Executive Director, David O'Connor, for UK£193k worth of shares, at about UK£10.60 per share. That means that an insider was selling shares at slightly below the current price (UK£13.00). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 35% of David O'Connor's holding.
Happily, we note that in the last year insiders paid UK£31k for 2.85k shares. But insiders sold 28.60k shares worth UK£303k. In total, Churchill China insiders sold more than they bought over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership of Churchill China
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Insiders own 22% of Churchill China shares, worth about UK£32m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
