We often see insiders buying up shares in companies that perform well over the long term. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Evolution Mining Limited (ASX:EVN), you may well want to know whether insiders have been buying or selling.

What Is Insider Selling?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.

We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year.'

Evolution Mining Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when Executive Chairman Jacob Klein sold AU$9.5m worth of shares at a price of AU$3.78 per share. So what is clear is that an insider saw fit to sell at around the current price of AU$3.76. They might be selling for a variety of reasons, but it's hard to argue this is a bullish sign. Arguably, insider selling at around current prices should give us reason to reflect on whether the stock is fully valued at the moment. The only individual insider seller over the last year was Jacob Klein.

Does Evolution Mining Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Evolution Mining insiders own about AU$58m worth of shares. That equates to 0.9% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Evolution Mining Insiders?

An insider hasn't bought Evolution Mining stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. On the plus side, Evolution Mining makes money, and is growing profits. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration.
