Insider Sales At FFI Holdings Landed A Good Price

While it’s been a great week for FFI Holdings Limited (ASX:FFI) shareholders after stock gained 12%, company insiders might have missed out on those gains after selling stock earlier this year. Had they waited, they might have been able to sell their stock at much higher prices and thereby received a better value on their investment.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At FFI Holdings

The Non-Executive Chairman & Company Secretary, Rodney Moonen, made the biggest insider sale in the last 12 months. That single transaction was for AU$279k worth of shares at a price of AU$3.70 each. That means that even when the share price was below the current price of AU$4.49, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 3.0% of Rodney Moonen's holding. Rodney Moonen was the only individual insider to sell over the last year.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. FFI Holdings insiders own about AU$34m worth of shares (which is 69% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

What Might The Insider Transactions At FFI Holdings Tell Us?

The fact that there have been no FFI Holdings insider transactions recently certainly doesn't bother us. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the FFI Holdings insiders selling. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Every company has risks, and we've spotted 4 warning signs for FFI Holdings (of which 2 shouldn't be ignored!) you should know about.

For the purposes of this article, insiders are those individuals who report their transactions to the relevant regulatory body. We currently account for open market transactions and private dispositions of direct interests only, but not derivative transactions or indirect interests.
