(BIT:ILP) signed a binding agreement to acquire 90% stake in Gelmini Srl from Gaspari Vittorio and Marco Mantovani for €5 million on June 16, 2025. The total consideration for the transaction has been set at €2.7 million, to be paid in cash at closing, plus an “earn out” of €1.35 million payable over three years upon achievement of revenue and EBITDA margin targets. Marco Mantovani will be appointed Chairman and CEO of Gelmini and will remain in office until the approval of the financial statements as of December 31, 2025; the remaining board members will be appointed by ILPRA S.p.A.
